At the first Australia-Israel Defence Industry Cooperation Joint Working Group* held on 9 July 2018, both the Australian Department of Defence (ADOD) and the Israeli Ministry of Defense (IMOD) identified this shared capability challenge and the need for innovative solutions.</p><p class="auto-style1" style="color: rgb(0, 0, 0); font-size: medium; font-style: normal; font-variant-ligatures: normal; font-variant-caps: normal; font-weight: 400; letter-spacing: normal; orphans: 2; text-align: start; text-indent: 0px; text-transform: none; white-space: normal; widows: 2; word-spacing: 0px; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">Emerging technologies have seen multiple systems on the soldier providing advanced capabilities to enhance the lethality, survivability and situational awareness of the dismounted combatant. Currently these are largely stand-alone and the ability to combine or fuse these is very limited. </p><p class="auto-style1" style="color: rgb(0, 0, 0); font-size: medium; font-style: normal; font-variant-ligatures: normal; font-variant-caps: normal; font-weight: 400; letter-spacing: normal; orphans: 2; text-align: start; text-indent: 0px; text-transform: none; white-space: normal; widows: 2; word-spacing: 0px; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">Soldiers currently carry a number of discrete sensors that collect data, such as laser range finders, rifle optics, cameras, thermal imagers and night vision systems. To increase the effectiveness of the soldier, Defence is seeking new technologies (i.e. novel communication systems, smart devices and/or cyber systems) that can network these systems, collate and analyse the data and display key information onto a single device (such as a tablet, weapon optic etc.).</p><p class="auto-style1" style="color: rgb(0, 0, 0); font-size: medium; font-style: normal; font-variant-ligatures: normal; font-variant-caps: normal; font-weight: 400; letter-spacing: normal; orphans: 2; text-align: start; text-indent: 0px; text-transform: none; white-space: normal; widows: 2; word-spacing: 0px; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">This network of systems (or the SPAN) should be able to connect to current and future systems and with broader Army networks. Attendance at AID18 requires you to agree to specific terms that govern the relationship of the parties in relation to AID18. Defence’s rights</strong></h1><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">3.1 Defence may amend, suspend, defer or terminate this call for submissions, and any aspect or the whole of the process (including the submission form), at any time by issuing a notice in writing via AusTender and the Innovation Hub Dashboard.</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">3.2 In addition to its other rights, Defence will not invite you to respond to the request for proposal if you:</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">a. are non-compliant under the <em>Workplace Gender Equality Act 2012</em> (Cth); or</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">b. have a judicial decision against you (including overseas jurisdictions but excluding judgements under appeal or instances where the period for appeal or payment/settlement has not expired) relating to unpaid employee entitlements where the entitlements remain unpaid; or</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">c. are an individual or entity on the Consolidated List to which the <em>Charter of the United Nations Act 1945 and Autonomous Sanctions Act 2011</em> currently applies.</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">3.3 Defence may at any time do any number of the following:</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">a. clarify submissions with respondents;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">b. enter into discussions with respondents in relation to their submission;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">c. consider additional information related to a submission (including information obtained from sources other than a respondent);</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">d. shortlist one or more respondents;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">e. in selecting successful respondents, Defence may consider whether it has obtained a suitable combination of innovations across the capability themes to meet Defence’s requirements. This includes considering the combination of submissions that represent the most suitable combination of innovations across all of the capability themes, even if not all those submissions were the highest-ranked submissions;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">f. exclude a submission from further consideration under clause 3.4;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">g. decide not to undertake, or discontinue, the Call for Submission if Defence considers it does not have sufficient submissions to make the continuation viable; and</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">h. decide not to proceed with AID18, or not invite a respondent to AID18, for logistical, security or safety reasons.</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">3.4 Defence may at any time exclude a submission from further consideration in any of the following circumstances:</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">a. clause 2 or clause 8 of these Terms is breached;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">b. the assessment of the submission against any one or more assessment criteria suggests that there is no reasonable prospect of being successful;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">c. Defence considers that the technology may present high risk to the environment, safety, security, persons or property or may breach the law or infringe the rights of others;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">d. Defence considers the submission includes a false or misleading claim or statement;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">e. Defence has received a large volume of submissions and a shortlisting process is used to evaluate submissions efficiently;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">f. if any of the circumstances specified in clauses 3.2a or 3.2b or 3.2c applies to the respondent;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">g. the proposed innovation is covered by existing procurement process or research activities Defence is undertaking;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">h. the proposed innovation has been developed by or with the assistance of an individual during the course of their employment with Defence;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">i. the proposed innovation has been developed under a contract with Defence (unless the contract specifically allows this);</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">j. the submission is made by, or with the assistance of, an entity or individual that is working or has worked with Defence on the Call for Submissions; and</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">k. the submission includes information that cannot be read or decrypted, or Defence believes the submission may contain a virus, malicious code or anything else which may compromise the integrity or security of its ICT environment.</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">3.5 Defence reserves the right to determine the order in which it assesses the submissions it receives in response to this call for submissions.</p> <h1 class="auto-style3" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial; color: rgb(0, 176, 80);"><strong>4. Your participation in AID18 is subject to the following terms:</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">a. you must not materially alter your proposed innovation from that described in your submission;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">b. you will attend and participate in AID18 at your own risk and cost;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">c. you will be required to attend event briefings and comply with all Defence safety and security requirements;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">d. you will be required to obtain, at your own cost, all necessary approvals, licences or permits required to attend AID18 before the date you will be expected to participate in AID18;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">e. you must fully disclose to Defence if any technology or equipment includes problematic substances, problematic sources or dangerous equipment or material before any such equipment is brought to the AID18;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">f. you will be responsible for removing all equipment, technology, rubbish and other items you bring after the completion of your involvement in AID18; and</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">g. you will be required to participate in AID18 in a co-operative and collaborative manner and to comply with all reasonable directions given by Defence in relation to AID18. Participants must not act in a manner that would bring Defence into disrepute.</p> <h1 class="auto-style3" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial; color: rgb(0, 176, 80);"><strong>5. Costs</strong></h1><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">5.1 Defence is not responsible for any costs you incur in relation to any of the following:</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">a. preparing or making a submission;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">b. any engagements with Defence in relation to your submission; and</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">c. any action you undertake in attending AID18 under the request for proposal process, such as obtaining any necessary licences, accreditations, permits, regulatory approval, export approvals or other authorisation(s).</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">5.2 Defence is not liable to you for any costs or expenses incurred by you in taking part in this call for submissions, including where:</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">a. your submission is excluded at any stage of the process;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">b. Defence varies or terminates this process;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">c. Defence’s requirements change;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">d. Defence exercises any of its other rights in these Terms;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">e. you rely on advice from Defence or any other Commonwealth of Australia entities, including the Centre for Defence Industry Capability, in relation to your submission; or</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">f. there are failures or problems involving your infrastructure, browser or internet connectivity.</p> <h1 class="auto-style3" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial; color: rgb(0, 176, 80);"><strong>6. Who owns your submission?</strong></h1><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">Ownership of any of your intellectual property in your submission remains vested in you. By making a submission, you grant to Defence the right to use and copy the submission for the purposes of this process (including the purposes specified in clause 7 below), the RFP and conducting AID18.</p> <h1 class="auto-style3" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial; color: rgb(0, 176, 80);"><strong>7. Confidentiality</strong></h1><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">7.1 You agree that Defence can use the information in your submission and any further information you give Defence about your submission (where requested by Defence) to:</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">a. determine whether to invite you to participate at AID18;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">b. determine whether to invite you to submit a proposal (through Stage 2 Request for Proposal) to enter into an Innovation Contract for funding and development of the proposed innovation in your submission;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">c. inform the assessment of your response to a Request for Proposal; and</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">d. evaluate and review its processes, in order to make improvements in relation to future calls for submissions;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">7.2 You agree that Defence may disclose or provide access to information included in your submission to:</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">a. authorised personnel within the Department of Industry, Innovation and Science, to allow the Centre for Defence Industry Capability to provide you with updates on the progress of your submission;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">b. other government agencies, including state and territory government agencies, to consult with them about the claims you have made in your submission; and</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">c. take appropriate action if any statement made in your submission is incorrect, incomplete, false or misleading, including using the information contained in the proposal for a fraud investigation that would be consistent with the Australian Government’s Investigations Standard and Fraud Control Guidelines.</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">7.3 Defence will not use or disclose information in your submission other than as set out in clauses 7.1 or 7.2 unless:</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">a. you agree;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">b. the information is in the public domain otherwise than due to a breach of confidence;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">c. to comply with legal obligations or statutory or portfolio duties, or for public accountability reasons; or</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">d. to defend any claim made in relation to the process or a procurement by Defence (whether or not of the innovation proposed in your submission).</p> <h1 class="auto-style3" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial; color: rgb(0, 176, 80);"><strong>8. Privacy</strong></h1><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">8.1 You agree that Defence may collect, store, use and disclose the personal information provided in your submission for the purposes of evaluating your submission and for other purposes relating to the administration of this process, conducting AID18 and the RFP.</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">8.2 You may choose not to provide personal information but in this case Defence may not be able to evaluate your submission.</p><p style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;"><span class="auto-style7">8.3 The Defence Privacy Policy, which contains information regarding how Defence collects, stores and uses personal information, is available at </span><a href="http://www.defence.gov.au/privacy.asp"><span class="auto-style7">http://www.defence.gov.au/privacy.asp</span></a><span class="auto-style7">.</span></p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">8.4 For information about how Defence holds your personal information, how you can apply for access to, or seek a correction of personal information Defence holds about you, or to make a complaint about how Defence has managed your personal information, you should refer to the Defence Privacy Policy.</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">8.5 Questions regarding the Defence Privacy Policy, or privacy within Defence, should be directed to the Defence Privacy Officer: Email: defence.privacy@defence.gov.au</p> <h1 class="auto-style3" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial; color: rgb(0, 176, 80);"><strong>9. Your acknowledgments and agreements</strong></h1><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">9.1 By making a submission you:</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">a. acknowledge that you do so, and participate in this Call for Submissions process (including any potential attendance at AID18), at your own risk and cost;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">b. consent to and authorise Defence to collect, store, use and disclose the personal information you provided in your submission for the purposes specified in clause 8;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">c. acknowledge that Defence is not obliged to proceed further with any submission you make, or enter into arrangements with you about the innovation proposed in your submission;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">d. acknowledge that, subject to these Terms, Defence may deal with other organisations (whether or not they have made a submission) in relation to proposed innovations that may have Defence applications;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">e. acknowledge that in assessing submissions, Defence may consider additional information related to any assessment criteria or consideration (including information obtained from sources other than you);</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">f. declare that the information provided in the submission is accurate, complete and current and acknowledge that giving false or misleading information is a serious offence under the <em>Criminal Code Act 1995</em>;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">g. declare that you have not – and your related bodies corporate (as defined in the <em>Corporations Act 2001</em>), as well as officers, employees, agents and advisors of you or your related bodies corporate, have not – broken any applicable law (including foreign laws) about offering of inducements in connection with the preparation of your submission;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">h. declare that there is no actual, potential or perceived conflict between Defence’s interests and your interests in relation to the process, other than those you have identified in your submission, and that you will immediately notify Defence if you become aware of one. In this paragraph, “your interests” includes the interests of your related bodies corporate, and the interests of the officers or employees of you or your related bodies corporate;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">i. acknowledge that if you are successful in this process, you will not be paid any amount for your participation in AID18 or in the RFP and are responsible for arrangement for the delivery and removal of all materials and products relevant to you participating in AID18; and</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">j. acknowledge that you are responsible for arranging and obtaining all necessary licences, accreditations, permits, regulatory approval, export approvals or other authorisation(s) required to attend and participate in AID18.</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">9.2 By making a submission which includes subcontractors, in addition to your acknowledgements and declarations in clause 9.1, you acknowledge and declare that:</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">a. each of your subcontractors make the acknowledgements and declarations referred to in clause 9.1; and</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">b. you have the authority to provide the acknowledgements and declarations on behalf of each of your subcontractors.</p> <h1 class="auto-style3" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial; color: rgb(0, 176, 80);"><strong>10. Withdrawing a submission</strong></h1><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">10.1 You agree that your submission is valid unless or until it is withdrawn.</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">10.2 You may withdraw a submission at any time by submitting an online enquiry form via the Defence Innovation Hub Dashboard.</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">10.3 If you withdraw a submission before Defence has assessed it, or during its assessment, Defence will not assess it, or continue assessing it.</p> <h1 class="auto-style3" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial; color: rgb(0, 176, 80);"><strong>11. Interpretation of these Terms</strong></h1><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">11.1 In these Terms, unless the contrary appears:</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">a. the singular includes the plural and vice-versa;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">b. a reference to one gender includes the others;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">c. “AID18” means Army Innovation Day 2018;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">d. “Assessment Criteria and Process” means the document which contains the assessment criteria and process for this Special Notice published by Defence on the Defence Innovation Hub Web Portal;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">e. “Challenge Statement” means the cover document to these Terms that sets out the challenge statement for this Special Notice;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">f. “Closing Time” means the time and date specified as such in the Challenge Statement;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">g. “Defence” refers to the Commonwealth of Australia as represented by the Department of Defence, including its advisers or contractors;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">h. “Defence Innovation Hub Web Portal” means the webpage available at <a href="http://www.innovationhub.defence.gov.au/call-for-submissions/">https://www.innovationhub.defence.gov.au/call-for-submissions/</a>;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">i. “Defence Innovation Hub Dashboard” means the page visible to users of the Defence Innovation Hub Web Portal after login ;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">j. “Innovation Contract” means a contract between Defence and a respondent, formed after the respondent has provided a successful response to a request for proposal;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">k. “request for proposal” means the second stage request for proposal process for this Special Notice;</p><p class="auto-style7" style="font-variant-ligatures: normal; font-variant-caps: normal; orphans: 2; widows: 2; -webkit-text-stroke-width: 0px; text-decoration-style: initial; text-decoration-color: initial;">l. “request for proposal terms” means the terms notified to the market that govern the second stage request for proposal process for this Special Notice;</p><p class="auto-style7" style="font-variant-ligatures: normal; <div class="instructions"><h1 style="color: rgb(0, 176, 80);"><strong>ASSESSMENT CRITERIA AND PROCESS </strong></h1><p><strong>for Special Notice: Network Centric Soldier (including demonstration at Army Innovation Day 18)</strong></p> <h1 style="color: rgb(0, 176, 80);"><strong>Call for Submissions</strong></h1><h2 style="color: rgb(0, 176, 80);"><strong>Assessment Criteria</strong></h2><p>Each submission in response to the CFS will be assessed against the following criteria, not in any order of importance:</p><ul style="list-style-type: lower-alpha; padding-left:2em;"><li><strong>Suitability - </strong>The extent to which the respondent’s submission addresses the challenge statement.<p>Defence will consider the following elements:</p><ul style="list-style-type: lower-roman;"><li>The extent to which the proposed innovation could further the effectiveness of a Defence capability or enterprise;</li><li>The extent to which the respondent’s submission clearly articulates and explains the proposed innovation; and</li><li>The extent to which the proposed innovation is unique and improves Defence’s effectiveness and efficiency through innovation.</li></ul></li><li><strong>Feasibility - </strong>The extent to which the proposed innovation will be able to be developed, adopted and/or integrated with relevant Defence systems.<p>Defence will consider the following elements:</p><ul style="list-style-type: lower-roman;"><li>the current technology readiness level of the proposed innovation, and the relevance and credibility of any claims made by the respondent relating to the feasibility of the proposed innovation; and</li><li>where applicable, the level of effort that is required to implement the proposed innovation into the relevant Defence system or platform.</li></ul></li><li><strong>Timeliness - </strong>The extent to which the schedule of the proposed innovation aligns with the timelines specified in the challenge statement.</li><li><strong>Contribution to Australia’s Defence industry capability - </strong>The extent to which the proposed innovation has the potential to improve or contribute to Australia’s Defence Industry capability and capacity.</li></ul><h2 style="color: rgb(0, 176, 80);"><strong>CFS Process</strong></h2><p>This CFS will consist of two assessment phases:</p><ul style="list-style-type: lower-alpha; padding-left:2em;"><li>CFS Initial Assessment; and </li><li>CFS Final Assessment.</li></ul><p>Defence will conduct an CFS Initial Assessment of the submissions received in response to this CFS Special Notice to select up to 10 respondents to display, exhibit and demonstrate their proposed innovations on Army Innovation Day 2018 (AID18), as part of the CFS assessment. The respondent’s participation in AID18 is for clarification and verification purposes only. Defence will use the activity to clarify and confirm aspects of the respondent’s written proposal and may take the respondent’s participation into account in the evaluation of the respondent’s proposal.</p><p>Following AID18, Defence will conduct a CFS Final Assessment of those submissions that were progressed to AID18 to invite one or more respondents to participate in a Request for Proposal (RFP) process. Defence will consider the submissions received to confirm whether or not it is appropriate to progress to RFP. The considerations may include:</p><ul style="list-style-type: lower-alpha; padding-left:2em;"><li>whether there is a reasonable prospect that the proposed innovation will satisfactorily address the problem described in the Challenge Statement;</li><li>whether the proposed innovation is affordable by reference to the funding available to address the problem described in the Challenge Statement;</li><li>any risks or potential consequences for Defence that may arise if it were to proceed with the submission, such as potential non-compliance with the Innovation Contract Standard Terms or technical risks arising from the technology; and</li><li>the extent to which all the shortlisted technologies, taken together, best meet the objectives and requirements of Defence as set out in the Special Notice. </li></ul><p>For both phases of the CFS assessment, Defence will assess submissions against the Assessment Criteria and in accordance with the CFS process described above. </p><p><strong></strong></p><h1 style="color: rgb(0, 176, 80);"><strong>Advice on outcomes of CFS processes </strong></h1><p><em><strong>Phase 1: CFS Initial assessment </strong></em><br />Respondents will be advised of the outcome of the CFS Initial Assessment on or around 1 October 2018 or in any event, within a reasonable time prior to AID18. </p><p><em><strong>Phase 2: CFS Final assessment</strong></em><br />After AID18, Defence will undertake a CFS Final Assessment of the CFS submissions from the respondents who were invited to attend AID18 and participated in AID18 activities taking into account information received at AID18. Respondents will then be advised of the outcome of their submission, i.e. their submission is successful and they will be invited to participate in the RFP process, or their submission is unsuccessful and they will not be invited to participate in the RFP process. </p> <h1 style="color: rgb(0, 176, 80);"><strong>Request for Proposal </strong></h1><p>As part of Stage 2, invited respondents will be required to provide more detailed information on the proposed innovation than required in the call for submission stage. Defence will also provide a draft Innovation Contract for respondents to complete the draft Contract Phase Statement, draft Project Execution Plan and relevant Annexes (e.g. the IP and Technical Data Schedules). <strong>Defence will not negotiate the Standard Terms of the Innovation Contract. Defence will not allow respondents to propose any new innovation which was not included as part of a Stage 1 submission.</strong></p><p>Defence will assess the proposals received against the RFP Terms and assessment criteria (set out below) in order to decide which proposals represent the best value for money for the Commonwealth. Defence’s intention is to select a number of proposals to execute a Phase 2 Innovation Contract.</p><p><strong></strong></p><h2 style="color: rgb(0, 176, 80);"><strong>Assessment Criteria</strong></h2><p>All proposals submitted in response to a RFP will be assessed, in the context of the applicable capability theme, against the following criteria, not in any order of importance:</p><ul style="list-style-type: lower-alpha; padding-left:2em;"><li><strong>Suitability - </strong>The extent to which the proposed innovation addresses the challenge statement.<p>Defence will consider the following elements in making an assessment against this criterion:</p><ul style="list-style-type: lower-roman;"><li>The extent to which the proposed innovation could further the effectiveness of a Defence capability or enterprise;</li><li>The extent to which the respondent’s proposal clearly articulates and explains the proposed innovation; and</li><li>The extent to which the proposed innovation is unique and improves Defence’s effectiveness and efficiency through innovation.</li></ul></li><li><strong>Feasibility - </strong>The extent to which the proposed innovation will be able to be developed and adopted with relevant defence systems, from a technology perspective.<p>Defence will consider the following elements in making an assessment against this criterion:</p><ul style="list-style-type: lower-roman;"><li>the current technology readiness level of the proposed innovation, and the relevance and credibility of any claims made by the respondent relating to the feasibility of the proposed innovation; and</li><li>where applicable, the scope, complexity, risks and level of effort, that is required to implement the proposed innovation into the relevant Defence system or platform.</li></ul></li><li><strong>Timeliness - </strong>The extent to which the proposed innovation aligns with any preferred technology readiness level, timelines, schedules or milestones it has described in the challenge statement, including any variations from those timelines indicated by the respondent’s proposal.<p>Defence will consider, in making an assessment against this criterion, the extent to which the proposed timeline and duration of the proposed innovation aligns with the timelines for any Defence capability requirements or related activities undertaken by Defence.</p></li><li><strong>Contribution to Australia’s Defence industry capability</strong> - The extent to which the proposed innovation will improve or contribute to Australia’s Defence Industry capability and capacity.</li><li><strong>Cost</strong> – The cost of the proposed innovation, including contract price, Defence items and any other costs to Defence.</li><li><strong>Organisational Capability and Capacity </strong>– The extent to which the respondent is capable of, and has the capacity to, successfully progress the proposed innovation now and into the future.<p>Defence will consider the following elements in making an assessment against this criterion:</p><ul style="list-style-type: lower-roman;"><li>the extent of the project management capability of the respondent, and appropriateness of any proposed or existing governance arrangements;</li><li>financial and corporate viability of the respondent; and</li><li>previous performance of the respondent in delivering similar projects or services<span style="display: none;"> </span></li></ul></li></ul><p><strong></strong></p><h2 style="color:rgb(0, 176, 80);"><strong>Value for money assessment </strong></h2><p>Each proposal submitted in response to an RFP will be evaluated on the basis of best value for money consistent with Commonwealth procurement policies. The value for money assessment will include the consideration of:</p><ul style="list-style-type: lower-alpha; padding-left:2em;"><li>any risks or potential consequences for Defence that may arise if it were to proceed with the submission, such as potential non-compliance with the Innovation Contract Standard Terms or technical risks arising from the technology; and</li><li>the extent to which all the shortlisted technologies, taken together, best meet the objectives and requirements of Defence as set out in the RFP. This may include selecting technologies across a range of capability themes.</li></ul><p>The cost of a proposal is not the only consideration. The lowest priced proposal will not necessarily be selected to proceed to an Innovation Contract.</p><p><strong></strong></p><h2 style="color:rgb(0, 176, 80);"><strong>Assessment outcome</strong></h2><p>If, as a result of the assessment process, the delegate considers that a proposal does not meet Defence’s needs, Defence will advise the respondent as soon as practicable.</p><p>If a proposal is successful, the respondent will be invited to execute an Innovation Contract, subject to resolving any issues identified during the assessment process that require clarifications. </p><p>Defence may, in its discretion, invite one or more unsuccessful respondents to submit a response under the Hub’s Priority Innovation Notice (PIN) approach to market, in which case, the proposal will be subject to the PIN RFP Terms, evaluation criteria and a separate value for money assessment.</p><p></p></div>
